By registering, accessing, or using any services developed, operated, provided, maintained, or hosted by React Web Development Services (referred to as “React”), including all websites and IP addresses available at https://www.reactdigital.ph, you agree to comply with the following terms and conditions (“Terms of Service”). You acknowledge that these terms are enforceable as though they were a written agreement mutually agreed upon and signed by both you and React.
React reserves the right to modify, update, or change the Terms of Service at any time, at its sole discretion, without prior notice to you. By continuing to use the service, you agree to be bound by any such changes. Any new features or enhancements to the existing service, including the introduction of additional tools or resources, will also be governed by these Terms of Service.
BY CONTINUING TO USE THE SERVICE, YOU ACKNOWLEDGE AND AGREE TO COMPLY WITH THE LATEST VERSION OF THE TERMS OF SERVICE.
Account Terms:
  1. You must be at least 18 years old to use React’s services.
  2. You are required to provide a valid email address and any other information necessary to complete the signup process and maintain ongoing use of React’s services. Additionally, you agree to promptly update this information as it changes.
  3. React has the right to suspend or terminate your access to the services if it is found that the information you provided is incomplete or inaccurate.
  4. You are responsible for all content (including email content) that is published or sent on your behalf, whether through your account or any other accounts created by React.
  5. ou may not use React’s services for any illegal or unauthorized activities. While using the service, you must comply with all applicable laws in your jurisdiction, including but not limited to copyright, spam, and trademark laws.
  6. You are responsible for ensuring that your use of the service complies with all relevant local, state, national, and international laws. You must not breach any laws or regulations, upload or share materials that violate legal requirements, or use the service for fraudulent or improper purposes.
  7. You are prohibited from using any automated tools, such as robots, spiders, or other devices, as well as manual methods, to monitor or copy content from React.
  8. You may not resell, copy, reproduce, or use any part of the service for commercial purposes without React’s written consent.
  9. React has the right to modify, suspend, or discontinue the service at any time, for any reason, at its sole discretion. React also reserves the right to deny service to anyone, for any reason, at any time.
  10. React does not claim ownership, responsibility, or any intellectual property rights over the content or materials you provide to them.
General Conditions:
  1. Your use of the service is entirely at your own risk. You acknowledge and agree that React offers the service to you “As Is” and “As Available,” without any warranties or guarantees of any kind.
  2. React is not responsible for any inaccuracies concerning your product or business, nor is it liable for any content published or written that could harm or negatively impact your product or business.
  3. React reserves the right to offer similar or identical services to businesses that may compete with you. In these instances, React will make every effort to ensure that the content provided to each client is unique and customized to their specific needs. React will never disclose any information received from one client to another.
  4. You agree to allow React to display your company name on its website or portfolio for promotional purposes. However, you retain the right to request the removal of your company name from the website at any time.
  5. Technical support and consultation are only available to paying account holders and are provided according to the terms of your account.
  6. You acknowledge that React relies on third-party vendors and hosting partners to supply the hardware, software, networking, storage, and other technologies needed to operate and manage the service.
  7. You acknowledge and agree that React cannot guarantee the security of your data while it is being transmitted over the Internet or through servers that are beyond our control.
  8. You must not alter, adapt, or hack the service, nor modify any other website to falsely suggest that it is affiliated with, linked to, or partnered with React.
  9. Any form of verbal, physical, written, or other abuse directed at React customers, employees, members, or officers will lead to immediate account termination and may result in legal action.
  10. You agree to defend, indemnify, and hold React, its officers, directors, employees, and agents harmless from any claims, actions, or demands, including reasonable legal and accounting fees, made by any third party arising from your use of the service or your breach of these Terms of Service.
  11. React values the privacy of its clients and the confidentiality of the information you provide, such as your customers’ email addresses, in connection with the services offered. React will not share or sell this information to any third party without your consent, except as required by law or a valid subpoena.
  12. You agree to receive administrative and legal notices regarding the service through email, text messages, or traditional mail.
  13. If React fails to exercise or enforce any right or provision of the Terms of Service, it does not waive that right or provision. These Terms of Service represent the entire agreement between you and React and govern your use of the service, replacing any previous agreements (including prior versions of the Terms of Service) between you and React.
Payment Terms:
  1. A valid credit card is necessary for all accounts.
  2. The service is billed in advance on a monthly, quarterly, or annual basis.
  3. Refunds are not available after your purchase.
  4. React reserves the right to terminate or suspend an account for non-payment of subscription dues. Any unpaid fees for your term are still owed.
  5. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
  6. React reserves the right to change service fees upon 30 days notice. Such notice may be provided at any time notifying you through email.
  7. Terms are monthly, quarterly, or yearly and automatically renew.
Intellectual Property:
  1. Any content created by React and delivered to you is owned by you and considered “work for hire”.
  2. React claims no intellectual property rights over the material you provide to the service.
Warranty & Liability:
React does not warrant that:
  1. The service will be uninterrupted, timely, secure, bug or error-free.
  2. Any errors or bugs in the service will be corrected.
You expressly understand and agree that React shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if React has been advised of the possibility of such damages), resulting from your usage of the service.
Cancellation & Termination:
  1. You are solely responsible for properly cancelling your account. You may cancel your React services at any time by logging into the payment portal and cancelling the subscription. You will no longer be charged after your current term is completed.
  2. There is no cancellation fee.
  3. There will be no refund if you cancel the service before the end of your current, paid-up month, quarter or year, and you will not be charged or billed thereafter.
Dispute Resolution Procedure:

The Parties hereby agree that the sole and exclusive jurisdiction of any claim, action or proceeding arising under or in connection with this Agreement shall be the Department of Justice (DOJ). The language of any such hearing shall be English. Each Party hereby irrevocably consents and submits to such jurisdiction and venue.

Governing Law:

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Philippines.
